Item 8.01 Other Events.

 

On October 18, 2021, the Board of Directors of Grove, Inc. (the “Company”) authorized a stock repurchase program (the “Stock Repurchase Program”) pursuant to which the Company may repurchase up to 1,000,000 shares of the Company’s common stock, $0.001 par value per share (“Common Stock”).

 

The Company may repurchase shares of its Common Stock via the open market and/or privately negotiated transactions. Repurchases will be made in accordance with applicable securities laws and may be effected pursuant to Rule 10b5-1 trading plans. The manner, timing and amount of any share repurchases will be determined by the Company based on a variety of factors, including price, general business and market conditions and alternative investment opportunities. The Stock Repurchase Program does not obligate the Company to repurchase any particular amount of its Common Stock.
